Terms of Service

1. Introduction

Welcome to SideNote, operated by Instance Design ("we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of the SideNote browser extension and related services (collectively, the "Service"). By installing, accessing, or using SideNote, you agree to be bound by these Terms. If you do not agree, do not use the Service.

You must be at least 13 years old to use SideNote. By using the Service, you represent that you meet this age requirement. If you are under the age of 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

2. Service Description

SideNote is a Chrome browser extension that allows you to save private notes on profiles and posts on X (Twitter). Notes are visible only to you and are not shared publicly. The Service includes features such as one-click note creation, a searchable sidebar, and cloud-synced storage so your notes are accessible across devices.

3. Account Registration

To use SideNote, you must create an account by signing in with X (Twitter), Google, or email and password. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Free and Pro Plans

SideNote is available for free with a limited number of notes. To unlock unlimited notes, you may upgrade to a Pro plan. We reserve the right to change the features, limits, or pricing of any plan at any time. Any changes to pricing will take effect at the start of your next billing cycle.

5. Payments and Billing

Payments for Pro plans are processed by a third-party payment provider. By subscribing to a Pro plan, you authorize recurring charges at the applicable rate until you cancel. All fees are non-refundable. Cancelling your subscription will stop future charges but you will retain access to Pro features until the end of your current billing period.

You are responsible for providing accurate and up-to-date billing information. We are not responsible for any fees, charges, or issues arising from errors in your payment details.

6. User Content

You retain full ownership of all notes and content you create using SideNote ("User Content"). We do not claim any intellectual property rights over your User Content. You are solely responsible for the content of your notes.

We do not actively monitor or review User Content. However, we reserve the right to remove or disable access to any content that violates these Terms or applicable law.

7. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation
  • Infringe on the rights of others, including intellectual property rights
  • Store or transmit malicious, harmful, or unlawful content
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use automated means to scrape, crawl, or extract data from the Service
  • Interfere with or disrupt the integrity or performance of the Service
  • Attempt to gain unauthorized access to any part of the Service or its systems

8. Privacy

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your information. By using the Service, you agree to the collection and use of information as described in our Privacy Policy.

9. Intellectual Property

The SideNote name, logo, software, and all related materials are the intellectual property of Instance Design and are protected by applicable copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Service without our prior written consent.

10. Third-Party Services

SideNote interacts with X (Twitter) to provide its functionality. We are not affiliated with, endorsed by, or sponsored by X Corp. or any of its affiliates. Your use of X (Twitter) is subject to their own terms and policies.

Payments are processed by a third-party provider and are subject to their terms of service. We are not responsible for the actions or omissions of any third-party service providers.

11. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

12. Limitation of Liability

To the maximum extent permitted by law, Instance Design shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or in connection with your use of the Service.

Our total aggregate liability for any claims arising from or related to the Service shall not exceed the total amount you paid to us in the twelve (12) months immediately preceding the event giving rise to the claim.

13. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms or if we discontinue the Service.

Upon termination, your right to use the Service ceases immediately. We may, but are not obligated to, delete your User Content after termination.

14. Changes to Terms

We may update these Terms from time to time. When we make changes, we will update the "Last updated" date at the top of this page. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Malaysia, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Malaysia.
